- Pre-existing intellectual property and tools
- Website content, design, and free tools

Client Work Product
Upon full payment, clients will own:
- Custom code developed specifically for their project
- Custom designs and graphics created for their business
- Content and data provided by or created for the client
Third-Party Software
Some solutions may incorporate third-party software or services subject to their own licensing terms.
7. Confidentiality
We understand that our work may involve access to confidential business information. We agree to:

This confidentiality obligation survives termination of our service relationship.

12. Termination
Termination by Either Party
Either party may terminate ongoing services with 30 days written notice. Project-based work may be terminated as specified in individual agreements.
Termination for Cause
We may immediately terminate services if you:
- Breach these Terms or service agreements
- Fail to pay invoices when due
- Engage in illegal or harmful activities
- Violate our confidentiality or security requirements
Effect of Termination
Upon termination:
- All outstanding invoices become immediately due
- We will provide reasonable assistance in transitioning services
- Confidentiality obligations continue to apply
- You must discontinue use of our proprietary tools and materials
13. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, labor disputes, or technology failures.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes shall be resolved through:
- Good Faith Negotiation: First attempt to resolve disputes through direct discussion
- Mediation: If negotiation fails, non-binding mediation in Las Vegas, Nevada
- Litigation: If mediation fails, disputes will be resolved in state or federal courts in Clark County, Nevada
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original.
16. Entire Agreement and Modifications
These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and Blue Diamond Labs regarding the use of our services. We may modify these Terms by posting updated versions on our website with notice of material changes.
